TERMS & CONDITIONS: Grow Your List with Instagram, 2-day live event.

This Agreement (“Agreement”) is between Jenna Warriner / Parkdale Republic Inc. (“Coach”) and the registered participant (“Client”), collectively the “Parties.”
By registering for the Grow Your List with Instagram event (“Event”), Client agrees to the following terms:

1. TERM & ACCESS
Coach will provide access to the Event via a virtual live stream and an online portal. Event replays will be made available for one (1) year after the event concludes. If, at any time, the portal is no longer available, Coach will provide an opportunity for Client to download relevant materials.

2. CLIENT BEHAVIOUR
Non-Disparagement
Client agrees not to make any false, negative, or harmful comments about Coach, employees, or the Event. Coach may terminate this Agreement if this clause is violated.

3. FEES & PAYMENT
Fee
Client agrees to pay the fee as listed at the time of purchase. All fees are in USD and subject to applicable sales taxes.
Payment Method
Payments are processed via PayPal or other approved third-party processors. Processing fees may apply.
No Chargebacks
Client agrees not to initiate chargebacks and acknowledges that Coach’s refund policy overrides any third-party platform refund terms. Client is liable for any fees Coach incurs due to chargebacks.

4. CANCELLATION & REFUND POLICY
There are no refunds for this Event.
If Coach is unable to deliver the Event or part of it, notice will be provided and Event materials will be made available for download.

5. CONFIDENTIALITY & PRIVACY
Client agrees not to share any confidential materials, methods, or recordings provided during the Event. Coach may collect personal information as necessary to deliver the Event and store it per applicable privacy laws. Client understands that Zoom and other third-party platforms may be used, and Coach is not liable for their privacy terms.

6. INTELLECTUAL PROPERTY
All content shared during the Event—including videos, slides, handouts, and templates—is owned by Coach and protected by copyright. Client is granted a limited license for personal use only and may not copy, distribute, or share any materials without written permission.

7. DISCLAIMERS
Voluntary Assumption of Risk
Client assumes all risks associated with participation, including financial, reputational, or emotional outcomes.
No Guarantee of Results
Coach makes no guarantee that the Event will lead to specific results, email list growth, financial success, sales, social media growth, or business performance. Results vary depending on numerous factors outside Coach’s control.
No Legal, Financial, or Health Advice
Coach is not providing legal, financial, medical, or professional advice. Client is solely responsible for their compliance with industry regulations, including FTC guidelines and proper testimonial usage.

8. LIMITATION OF LIABILITY & RELEASE
Client agrees to release, indemnify, and hold harmless Coach and associated parties from any claims, damages, or liabilities resulting from participation. Any liability on Coach’s part will not exceed the Event fee paid by Client.

9. MEDIA RELEASE
Client grants Coach the right to use photos, videos, screenshots, testimonials, or social media posts related to the Event for marketing purposes, without additional permission or compensation.

10. GENERAL TERMS
Governing Law: This Agreement is governed by the laws of Manitoba, Canada.

Dispute Resolution: Any disputes will be resolved through mediation in Manitoba before other remedies are pursued.

Force Majeure: Neither party is liable for delays due to uncontrollable events (e.g., illness, emergencies, tech failures).

Notices: Notices will be delivered via email.

No Assignment: Client may not transfer their registration.

Severability: If any clause is deemed invalid, the rest of the Agreement remains in effect.

Entire Agreement: This document is the full understanding between the Parties.

Electronic Confirmation: By registering, Client agrees this serves as a signed Agreement.
